2.1 Listings: Sellers are solely responsible for the accuracy, legality, and completeness of the information provided in their listings. We do not guarantee the quality, legality, or authenticity of the assets listed on the Platform.
2.2 Prohibited Activities: Users must not:
- Misrepresent information about themselves or the assets they list or seek to acquire.
- Use the Platform to solicit unlawful transactions.
- Bypass subscription requirements or share access with unauthorized parties.
2.3 User-Generated Content: By submitting any content to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute that content in connection with the operation of the Platform.
3. Confidentiality and Non-Disclosure
3.1 Confidential Information: Users may have access to confidential information through listings, communications, or other materials on the Platform. Confidential Information includes but is not limited to:
- Financial data, business operations, proprietary methods, and intellectual property of sellers.
- Contact details, transaction details, and any other private information shared on the Platform.
3.2 Non-Disclosure: You agree not to:
- Share, publish, or disclose any Confidential Information to any third party without explicit written permission from the disclosing party.
- Use Confidential Information for any purpose other than evaluating or pursuing a transaction via the Platform.
3.3 Prohibition on Monetization: Users are strictly prohibited from monetizing, republishing, or otherwise exploiting any information obtained through the Platform for personal or commercial gain outside of the intended purpose.
3.4 Breach of Confidentiality: A breach of confidentiality will result in the immediate termination of your account and may result in legal action.
4. Payments and Refunds
4.1 Subscription Fees: Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) as specified at the time of purchase.
4.2 Refund Policy: All payments are final and non-refundable except as required by law.
4.3 Taxes: You are responsible for any applicable taxes related to your use of the Platform.
5. Disclaimer and Limitation of Liability
5.1 No Endorsement: We do not endorse or verify any listings or users on the Platform. All transactions are conducted at your own risk.
5.2 Platform Availability: We do not guarantee that the Platform will be error-free or uninterrupted.
5.3 Limitation of Liability: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
6. Indemnification
You agree to indemnify and hold harmless Evernomic Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any rights of a third party.
7. Termination
7.1 Termination by Us: We may suspend or terminate your access to the Platform at any time, with or without cause or notice.
7.2 Termination by You: You may cancel your subscription and terminate your account at any time through your account settings.
7.3 Effect of Termination: Upon termination, your access to the Platform and its content will cease immediately. Any obligations regarding confidentiality and payment shall survive termination.
8. Governing Law and Dispute Resolution
8.1 Governing Law: These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict of law principles.
8.2 Dispute Resolution: Any disputes arising under these Terms shall be resolved through binding arbitration in the Republic of Cyprus, except where prohibited by law.
9. Amendments to the Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
